Affiliate Agreement

This Affiliate Marketing Agreement (the “Agreement”) is entered into between Wellcare World (referred to as the “Company”) and [Referral Agent Name] (referred to as the “Referral Agent”) on this [date].

Agreement Overview

The Company operates a business that offers [description of products or services]. The Referral Agent desires to promote and refer potential customers to the Company’s products or services in exchange for a commission, as outlined in this Agreement.

Referral Agent Responsibilities

The Referral Agent agrees to promote and refer potential customers to the Company’s products or services using approved marketing materials provided by the Company, including content, images, and landing pages.

The Referral Agent may request additional promotional materials by contacting the Company directly at affiliate@wellcareworld.com.

The Referral Agent shall conduct their promotional activities in a professional and lawful manner, adhering to all applicable laws and regulations.

The Referral Agent shall use their best efforts to generate sales and referrals for the Company.

Commission and Payment

The Referral Agent shall be eligible to receive a commission of 30% of the net sales price of each product or service sold to customers referred by the Referral Agent.

The commission is a lifetime commission, meaning the Referral Agent will receive commissions for all future purchases made by the referred customers, as long as the referral relationship remains active.

The Company will track referrals using a 45-day cookie duration, ensuring that the Referral Agent receives credit for customers who make purchases within 45 days of their initial referral.

Commission payments shall be made directly to the Referral Agent’s bank account within 14 days of the referred sale.

Intellectual Property

The Company grants the Referral Agent a limited, non-exclusive, non-transferable license to use the Company’s approved marketing materials solely for the purpose of promoting the Company’s products or services under this Agreement.

The Referral Agent agrees not to modify, reproduce, distribute, or create derivative works from the Company’s marketing materials without prior written consent from the Company.

Term and Termination

This Agreement shall commence on the effective date and continue until terminated by either party.

Either party may terminate this Agreement by providing written notice to the other party.

Upon termination, the Referral Agent shall no longer be entitled to receive commissions for future sales, but any commissions earned prior to termination shall be paid in accordance with Section 3.

Confidentiality

The Referral Agent shall maintain the confidentiality of any non-public information received from the Company, including customer data and marketing strategies.

The Referral Agent shall not disclose or use any confidential information for any purpose other than performing their obligations under this Agreement unless required by law.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [jurisdiction].

Any disputes arising from this Agreement shall be resolved through negotiations in good faith. If a resolution cannot be reached, either party may initiate legal proceedings in the appropriate jurisdiction.

Entire Agreement

Any modifications or amendments to this Agreement must be made in writing and signed by both parties.

Independent Contractor

The Referral Agent is an independent contractor and nothing in this Agreement shall create an employer-employee relationship, partnership, or joint venture between the parties.

The Referral Agent is responsible for their own taxes, insurance, and other obligations arising from their activities as an independent contractor.

Severability

If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or the right to enforce it at a later time.
